NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. MAKING A PURCHASE DOES NOT INCREASE

CHANCES OF WINNING. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND

ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT. VOID WHERE PROHIBITED

OR RESTRICTED BY LAW AND IN ALL STATES AND/OR AREAS NOT SPECIFICALLY INCLUDED IN THE

ELIGIBILITY CRITERIA.

1. DESCRIPTION: The “Toyota Ultimate Giveaway” Sweepstakes begins on June 21st, 2026, and ends at 11:59 p.m. CDT on July 26th, 2026 . The “Sponsor of this Sweepstakes is the Chicago Region Toyota Dealers Advertising Association, c/o Saatchi & Saatchi North America, LLC, with an address at 35 W. Wacker, Chicago, IL 60606. The administrator of this Sweepstakes is Creative ZingPromotion Group, 2100 E. Robinson St., Orlando, FL 32803.

The Sponsor, Sponsor’s agency, Saatchi &

Saatchi North America, LLC (“Agency”) and Administrator will collectively be referred to as the “Sweepstakes Entities.”

2. ELIGIBILITY: This Sweepstakes is open only to legal United States residents of the greater Chicagoland, Illinois area

who are physically located and residing therein and who are at least eighteen (18) years of age at the time of entry (each

an “Entrant” and, collectively, “Entrants”). Sweepstakes Entities, the prize provider The Salt Shed (“Shed”), Toyota Motor Sales U.S.A., Inc., and each of their respective parent companies, affiliates, divisions,

subsidiaries, employees, agents, representatives, local dealer groups, authorized dealers and distributors, promotion and

advertising agencies; together with the immediate family members (parents, step-parents, legal guardians, children, step-

children, siblings, step-siblings, or spouses; and/or those living in the same household of such persons for at least three

months a year (collectively, “Household Members”), are not eligible to participate in the Sweepstakes. For purposes of the

Sweepstakes; shall mean those people who share the same residence at least three months a

year; Immediate Family Members; shall mean parents, step-parents, legal guardians, children, step-children, siblings,

step-siblings, or spouses; and employees of “local dealer groups, authorized dealers and distributors” shall include

individuals employed directly by the local dealer group, authorized dealer or distributor such as sales, mechanical,

marketing, operations, and accounting staff.  In the event of a dispute over the identity of an Entrant or potential winner in

the Sweepstakes, the Entrant or potential winner will be deemed the Authorized Account Holder of the email address

associated with the entry as long as such person is otherwise eligible in accordance with these Official Rules. “Authorized

Account Holder” is defined as the natural person in whose name the e-mail account was opened. In the event a dispute

regarding the identity of an Entrant or potential winner cannot be resolved to Sponsor’s satisfaction, the affected entry will

be deemed ineligible. Entries will not be acknowledged except as provided herein. Sweepstake’s prize is non-transferable

and cannot be substituted, sold, or bartered prior to such prize being fulfilled to the winner. Void outside greater

Chicagoland area and where prohibited or restricted by law.

Shed is a prize supplier only, is not a sponsor of this Sweepstakes, and is not responsible for the collection, submission or

processing of entries, the administration or execution of the Sweepstakes, or the selection of the winners. Shed name,

logo, and/or materials are used for purposes of promotion and/or prize descriptions only and such use is not intended to

suggest or imply Shed sponsorship of this Sweepstakes.

3. HOW TO ENTER: During the Sweepstakes Period, eligible Entrants may enter the Sweepstakes by following the

instructions in promotional messages and advertisements regarding the Sweepstakes to be redirected to the Sweepstakes

Google Form, following the on-screen instructions to access and complete the online entry form by

providing all of the information requested, including but not limited to the Entrant’s full name, email address and ZIP code, confirm that they have read, understand and

agree to these Official Rules, and then click “Enter” to receive one (1) entry into the Sweepstakes (each an “Entry” and

collectively the “Entries”).

Limit one (1) entry per person for the duration of the Sweepstakes. All requested information on the entry form must

be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the

Website is not considered proof of delivery to or receipt by Sponsor of such entry. Entries in excess of the limit may result

in disqualification of the Entrant. Any attempt by an Entrant to obtain more than the stated number of entries by using

multiple/different identities, registrations, logins, and/or any other methods will void such entrant’s entry and that Entrant

may be disqualified from the Sweepstakes. Entries generated by a macro, script or other automated means will be

disqualified. Each Entrant must be the rightful owner (or have authorized use) of the email address used for entry. All

entries become the sole property of Sponsor. ELIGIBLE ENTRANTS MUST SUBMIT THE REQUESTED ENTRY

INFORMATION IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE

ACCEPTED. Participation in the Sweepstakes constitutes Entrant’s understanding of and full and unconditional agreement

to and acceptance of these Official Rules. Sponsor reserves the right to disqualify any Entrant that Sponsor determines to

be in violation of any term contained in these Official Rules. The Sponsor’s designated database clock will be the official

timekeeper for this Sweepstakes.

4. PRIZES: Four (4) prizes are available to be awarded to six (4) winners (each a “Winner”), each consisting of two (2)

General Admission tickets to a show at The Salt Shed Indoors or Outdoors of Winners choice (pending availability of

tickets for the selected show) that falls between July 28, 2026 and June 1, 2027 (each a “Prize”). Maximum

Approximate retail value (“ARV”) of each Prize: $300. Cumulative ARV of all Prizes: $1,200.

Tickets will be placed at Will Call under each Winner’s name. Each Winner must be present to pick up tickets, and a valid

photo ID will be required for Will Call pick-up. Transfer or resale of tickets is prohibited. Winner must select a show where

Winner and guest meet the minimum age policy of the selected show. Tickets are subject to terms, conditions and

restrictions for the selected show, and are available on the ticket at the time of pick-up. Travel to/from selected show is not

awarded as part of the Prize in this Sweepstakes and Winners are solely responsible for any and all unspecified expenses

in conjunction with acceptance and use of the Prize, including but not limited to all incidentals, ground transportation,

parking, meals, souvenirs, concessions, beverages, gratuities, insurance, taxes, hotel fees and any other expenses not

specifically mentioned as being included. Prize must be accepted as awarded.

Seat locations shall be determined in the sole and absolute discretion of Sponsor and/or Shed. Prize does not include

items or tickets to or for any other event or exhibition other than as specifically set forth herein. The terms and conditions of

the tickets awarded as part of any prize will govern in the event the selected Prize show is not completed or held, as

applicable, due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. No

compensation will be paid in lieu of the cancelled Prize show. Each Winner and their guest must agree to comply with all

applicable venue regulations in connection with the Prize. Sponsor and Shed reserve the right to remove or to deny entry

to any winner and/or any guest who engage(s) in a disruptive manner, or with intent to annoy, abuse, threaten or harass

any other person at the Prize show. Sponsor and the Released Parties will not be responsible for weather conditions, Acts

of God, acts of terrorism, civil disturbances, local, state or federal regulation, order or policy, work stoppage, epidemic,

pandemic, or any other issue concerning public health or safety, or any other event outside their control that may cause the

cancellation or postponement of a selected Prize show. Sponsor and the Released Parties (a) make no warranty, guaranty

or representation of any kind concerning any prize (or any portion thereof), and (b) disclaim any implied warranty. Except

as may otherwise expressly be set forth herein, the Released Parties (a) make no warranty, guaranty or representation of

any kind concerning any prize (or any portion thereof), and (b) disclaim any implied warranty.

If a Prize cannot be awarded due to circumstances beyond the control of Sponsor, a substitute Prize of equal or greater

retail value will be awarded; provided, however, that if the Prize is awarded but is unclaimed/forfeited by recipient, Prize

may not be re-awarded, in Sponsor’s sole discretion. Other restrictions may apply. Each Prize, and all portions of the Prize,

are awarded without warranty of any kind, express or implied, without limitation. ALL FEDERAL, STATE AND LOCAL

TAXES, AND ANY OTHER COSTS AND EXPENSES, ASSOCIATED WITH THE RECEIPT OR USE OF THE PRIZE ARE

THE SOLE RESPONSIBILITY OF THE PRIZE WINNER. Limit one (1) Prize per person and per household. Prize

elements are subject to change at the Sponsor’s sole discretion. Any depictions of Prizes are for illustrative purposes only.

5. WINNER SELECTION & NOTIFICATION: Sponsor, in its sole discretion, may designate the Administrator to handle

winner selection and notification tasks on Sponsor’s behalf. On or about June 27, 2026, four (4) potential winners will be

selected at random from all eligible entries received, and will be notified at the email address associated with the entry.

Potential winner will be required to respond (as directed) to the notification within forty-eight (48) hours (or a shorter time if

required by exigencies) of notification. The failure to respond timely to the notification may result in forfeiture of the prize. If

a prize goes unclaimed or a potential prize winner is found to be ineligible, or if they have not complied with these Official

Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified, and an alternate

prize winner may be selected, at the sole discretion of the Sponsor and/or Administrator. Each potential winner will be

required to verify their physical residence address and to execute and return within forty-eight (48) hours an affidavit of

eligibility, a liability release, and (where imposing such condition is legal) a publicity release, and other prize releases

(collectively, the “Prize Claim Documents”) covering eligibility, liability, advertising, publicity, and media appearance

issues. Prize will not be awarded until all such properly executed Prize Claim Documents are returned. Administrator, in its

sole discretion, will attempt to contact up to two (2) potential alternate winners of a prize in accordance with the above

procedure, after which the prize in question may go unawarded if it remains unclaimed. Administrator reserves the right to

disqualify anyone not fully complying with the Official Rules. Prize winners are solely responsible for all federal, state

and/or local taxes, and for any other fees or costs associated with the redemption of a prize.

6. ODDS OF WINNING: Odds of winning depend on the number of eligible entries received.

7. CONDITIONS OF PARTICIPATION/RELEASES: All federal, state, and local laws and regulations apply. By

participating, each Entrant agrees to be bound by these Official Rules and the decisions of the Sweepstakes Entities,

which shall be final in all respects. By participating in this Sweepstakes and/or by accepting any prize, each Entrant agrees

to release the Sweepstakes Entities, Shed, Toyota Motor Sales U.S.A., Inc., each of their respective parent, subsidiary and

affiliated companies, units and divisions and advertising and promotional agencies; each of their respective officers,

directors, agents, representatives, shareholders, members, successors, and employees; and each of these companies and

individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all

actions, claims, injury, loss, or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes

and/or acceptance or use of a prize. Prize winner authorizes the Sponsor, Shed and their respective designees to use their

photo, name, likeness, biographical data, city, and state of residence in advertising, marketing, programming, or

promotional materials, worldwide in perpetuity, and on a winners’ list, if applicable, without further compensation unless

prohibited by law. Sponsor is not obligated to use any of the above-mentioned information or publicity materials but may do

so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

Winner may be asked to participate in additional press events, promotional activities, or publicity efforts. Specifics of such

event, activities, or efforts, if applicable, will be communicated directly to the Winner. The Sweepstakes Entities shall not be

liable for: (i) any injuries, losses, liabilities or damages of any kind including personal injury or death caused by the prize or

resulting from acceptance, possession or use of a prize including participation in any activity related thereto, or from

participation in the Sweepstakes; (ii) telephone system, telephone or computer hardware, software or other technical or

computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft,

destruction, unauthorized access to or alteration of entry or other materials; (iv) late, lost, delayed, stolen, misdirected,

postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless

of the method of transmission; (v) any inability of winner to accept or use any prize (or portion thereof) for any reason and

such prize or portion thereof shall be forfeited; or (vi) any printing, typographical, human administrative or technological

errors in any materials or activities associated with the Sweepstakes. The Released Parties disclaim any liability for

damage to any computer system resulting from participating in or accessing or downloading information in connection with

this Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes (or any

portion of the Sweepstakes) at any time for any reason or should a virus, bug, computer problem, unauthorized

intervention, extenuating circumstance or other problem/cause corrupt or inhibit the administration, security or proper play

of the Sweepstakes and, in such situation, will randomly select the winner from eligible non-suspect entries received prior

to and/or after such action or in such manner as deemed fair and appropriate by the Sweepstakes Entities. Sweepstakes

Entities may prohibit Entrant from participating in the Sweepstakes or winning a prize if, in their sole discretion, they

determine Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception,

or any other unfair practices or intending to annoy, abuse, threaten or harass any other Entrants or Released Parties.

CAUTION: ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES

MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM

PARTICIPATION IN THE SWEEPSTAKES. SHOULD SUCH AN ATTEMPT BE MADE, THE RELEASED PARTIES

RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST

EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. BY PARTICIPATING IN THE SWEEPSTAKES,

PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES,

CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY AWARD

AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY

AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET

COSTS INCURRED (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL

ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND 3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT

BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES

ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS,

AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO

NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

8. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of

this Sweepstakes, or the rights and obligations of Entrants and Sweepstakes Entities, shall be governed by, and construed

in accordance with, the laws of the State of New York, U.S.A., without giving effect to any choice of law or conflict of law

rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any

jurisdiction other than the State of New York.

9. ARBITRATION PROVISION: By participating in this Sweepstakes, each Entrant agrees that any and all disputes the

Entrant may have with, or claims Entrant may have against, the Released Parties relating to, arising out of or connected in

any way with (i) the Sweepstakes, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or

applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration

administered by the National Arbitration Forum (the "Forum") and conducted before a sole arbitrator pursuant to the Code

of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to

the Code of Procedure, or at such other location as may be mutually agreed upon by the Entrant and Sponsor. The

arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements

referenced herein that the applicable Entrant may have entered into in connection with the Sweepstakes. There shall be

no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the Entrant’s

and/or Sponsor’s individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who

may be similarly situated. The arbitrator shall not have the power to award special or punitive damages against the Entrant

or Released Parties. For more information on the Forum and/or the Forum’s Code of Procedure, please visit their website

at www.arb-forum.com. If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or

illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as

if the invalid or illegal provision were not contained herein.

10. PRIVACY NOTICE: Any personal information supplied by you to Sponsor will be subject to Sponsor’s privacy notice

posted at https://www.toyota.com/support/privacy-rights/. By entering the Sweepstakes, you grant Sponsor permission to

share your email address and any other personally identifiable information with the other Sweepstakes Entities and The

Salt Shed for the purpose of Sweepstakes administration and Prize fulfillment. Sponsor will not sell, rent, transfer or

otherwise disclose your personal data to any third party other than as explicitly described herein or in accordance with

Sponsor’s privacy notice.

13. WINNERS LIST: To obtain the name of the winners, send a request along with a stamped, self-addressed envelope to

“Summer at the Shed Sweepstakes” Winners List, 2100 E. Robinson St., Orlando, FL 32803. Requests for the names of

the winners must be received no later than August 31, 2026.
